C-16, s. 3; 2002, c. 17, s. 8</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="69420" lims:id="69420"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="69421" lims:id="69421">Appointment and tenure of office of members</MarginalNote><Label>4</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="69422" lims:id="69422"><Label>(1)</Label><Text>Each of the members of the Corporation, other than the Government Film Commissioner, shall be appointed to hold office for a term of five years, except that, of those members first appointed, three shall be appointed for a term of three years and three shall be appointed for a term of five years.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="69423" lims:id="69423"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="69424" lims:id="69424">Chairperson</MarginalNote><Label>(2)</Label><Text>The Governor in Council shall designate one of the members of the Corporation to serve as chairperson of the Corporation during pleasure and the chairperson may receive a yearly honorarium to be determined by the Governor in Council.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="69425" lims:id="69425"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="69426" lims:id="69426">Eligibility for re-appointment</MarginalNote><Label>(3)</Label><Text>A retiring member of the Corporation is eligible for re-appointment.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="69427" lims:id="69427"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="69428" lims:id="69428">Filling vacancy</MarginalNote><Label>(4)</Label><Text>When a member of the Corporation ceases to be a member before the end of the term for which he was appointed, the Governor in Council shall appoint a person to be a member of the Corporation for the remainder of that term.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2002-12-31" lims:fid="69430" lims:id="69430">R.S., 1985, c. C-16, s. 9; 1995, c. 29, s. 20(E)</HistoricalNoteSubItem></HistoricalNote></Section><Heading lims:inforce-start-date="2005-03-23" lims:fid="69451" lims:id="69451" level="1"><TitleText>Mandate and Powers</TitleText></Heading><Section lims:inforce-start-date="2005-03-23" lims:lastAmendedDate="2005-03-23" lims:fid="69452" lims:id="69452"><MarginalNote lims:inforce-start-date="2005-03-23" lims:fid="69453" lims:id="69453">Mandate</MarginalNote><Label>10</Label><Subsection lims:inforce-start-date="2005-03-23" lims:fid="69454" lims:id="69454"><Label>(1)</Label><Text>The mandate of the Corporation is to foster and promote the development of the audio-visual industry in Canada and to act in connection with agreements entered into under subsection (8).</Text></Subsection><Subsection lims:inforce-start-date="2005-03-23" lims:fid="69455" lims:id="69455"><MarginalNote lims:inforce-start-date="2005-03-23" lims:fid="69456" lims:id="69456">General capacity</MarginalNote><Label>(2)</Label><Text>For the purpose of carrying out its mandate, the Corporation has the capacity, rights, powers and privileges of a natural person.</Text></Subsection><Subsection lims:inforce-start-date="2005-03-23" lims:fid="69457" lims:id="69457"><MarginalNote lims:inforce-start-date="2005-03-23" lims:fid="69458" lims:id="69458">Specific powers</MarginalNote><Label>(3)</Label><Text>Without limiting the generality of subsection (2), the Corporation may</Text><Paragraph lims:inforce-start-date="2005-03-23" lims:fid="69459" lims:id="69459"><Label>(a)</Label><Text>invest in individual Canadian audio-visual productions in return for a share in the proceeds from those productions;</Text></Paragraph><Paragraph lims:inforce-start-date="2005-03-23" lims:fid="69460" lims:id="69460"><Label>(b)</Label><Text>make loans to producers of individual Canadian audio-visual productions and charge interest on those loans;</Text></Paragraph><Paragraph lims:inforce-start-date="2005-03-23" lims:fid="69461" lims:id="69461"><Label>(c)</Label><Text>make awards for outstanding accomplishments in Canadian audio-visual productions;</Text></Paragraph><Paragraph lims:inforce-start-date="2005-03-23" lims:fid="69462" lims:id="69462"><Label>(d)</Label><Text>make grants to audio-visual industry professionals resident in Canada to assist them in improving their craft; and</Text></Paragraph><Paragraph lims:inforce-start-date="2005-03-23" lims:fid="69463" lims:id="69463"><Label>(e)</Label><Text>advise and assist Canadian audio-visual producers in the distribution of their works and in the administrative functions of audio-visual production.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2005-03-23" lims:fid="69464" lims:id="69464"><MarginalNote lims:inforce-start-date="2005-03-23" lims:fid="69465" lims:id="69465">Borrowing</MarginalNote><Label>(4)</Label><Text>The Corporation shall not borrow money within the meaning of Part X of the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal> otherwise than from the Crown.</Text></Subsection><Subsection lims:inforce-start-date="2005-03-23" lims:fid="69466" lims:id="69466"><MarginalNote lims:inforce-start-date="2005-03-23" lims:fid="69467" lims:id="69467">Loan guarantees</MarginalNote><Label>(5)</Label><Text>Despite subsection (4), the Corporation may, in accordance with terms and conditions approved by the Treasury Board and the Minister of Finance, guarantee loans for audio-visual productions and their distribution.</Text></Subsection><Subsection lims:inforce-start-date="2005-03-23" lims:fid="69468" lims:id="69468"><MarginalNote lims:inforce-start-date="2005-03-23" lims:fid="69469" lims:id="69469">Canadian content, ownership, etc.</MarginalNote><Label>(6)</Label><Text>For the purposes of this Act, a <DefinedTermEn>Canadian audio-visual production</DefinedTermEn> is an audio-visual production in respect of which the Corporation has determined</Text><Paragraph lims:inforce-start-date="2005-03-23" lims:fid="69470" lims:id="69470"><Label>(a)</Label><Text>that the completed production will, in the judgment of the Corporation, have a significant Canadian creative, artistic and technical content, and that arrangements have been made to ensure that the copyright in the completed production will be owned by an individual resident in Canada, by a corporation incorporated under the laws of Canada or a province or by any combination of owners described in this paragraph; or</Text></Paragraph><Paragraph lims:inforce-start-date="2005-03-23" lims:fid="69471" lims:id="69471"><Label>(b)</Label><Text>that provision has been made for the production under a co-production agreement entered into between Canada and another country.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2005-03-23" lims:fid="69472" lims:id="69472"><MarginalNote lims:inforce-start-date="2005-03-23" lims:fid="69473" lims:id="69473">Corporation not a partner</MarginalNote><Label>(7)</Label><Text>The Corporation shall not be regarded as a partner in any production in which it may invest, and its liability shall be limited to the amount of its investment in the production.</Text></Subsection><Subsection lims:inforce-start-date="2005-03-23" lims:fid="69474" lims:id="69474"><MarginalNote lims:inforce-start-date="2005-03-23" lims:fid="69475" lims:id="69475">Contribution agreements</MarginalNote><Label>(8)</Label><Text>The Corporation may enter into agreements with the Department of Canadian Her­itage for the provision of services or programs relating to the audio-visual or sound recording industries.</Text></Subsection><Subsection lims:inforce-start-date="2005-03-23" lims:fid="69476" lims:id="69476"><MarginalNote lims:inforce-start-date="2005-03-23" lims:fid="69477" lims:id="69477">Consultation and cooperation</MarginalNote><Label>(9)</Label><Text>The Corporation shall, to the greatest possible extent consistent with the performance of its duties under this Act,</Text><Paragraph lims:inforce-start-date="2005-03-23" lims:fid="69478" lims:id="69478"><Label>(a)</Label><Text>carry out its mandate in the broader context of the policies of the Government of Canada with respect to culture; and</Text></Paragraph><Paragraph lims:inforce-start-date="2005-03-23" lims:fid="69479" lims:id="69479"><Label>(b)</Label><Text>consult and cooperate with any departments, boards and agencies of the Government of Canada and the governments of the provinces that have a mandate related to the mandate of the Corporation.</Text></Paragraph></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2005-03-23" lims:fid="69481" lims:id="69481">R.S., 1985, c. C-8, s. 11</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="69487" lims:id="69487"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="69488" lims:id="69488">Executive director</MarginalNote><Label>12</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="69489" lims:id="69489"><Label>(1)</Label><Text>The Governor in Council may, on the recommendation of the Corporation, appoint an executive director of the Corporation, who shall hold office during pleasure and shall be paid such salary as is fixed by the Governor in Council.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="69490" lims:id="69490"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="69491" lims:id="69491">Functions of executive director</MarginalNote><Label>(2)</Label><Text>The executive director is the chief executive officer of the Corporation, has supervision over and direction of the work and staff of the Corporation and may attend the meetings of the Corporation.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2002-12-31" lims:fid="69493" lims:id="69493">R.S., 1985, c.
