enable the parties to a dispute to achieve a resolution that is commercially fair and reasonable to the parties.</Text></Subsection><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814273" lims:id="814273"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814274" lims:id="814274">Just, expeditious, inexpensive</MarginalNote><Label>(2)</Label><Text>These Rules are to be interpreted and applied in a manner that facilitates, through arbitration, the just, expeditious and inexpensive resolution of the dispute.</Text></Subsection></Section><Section lims:inforce-start-date="2014-04-17" lims:lastAmendedDate="2014-04-17" lims:fid="814275" lims:id="814275"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814276" lims:id="814276">Definitions</MarginalNote><Label>2</Label><Text>The following definitions apply in these Rules.</Text><Definition lims:inforce-start-date="2014-04-17" lims:fid="814277" lims:id="814277" generate-in-text="no"><Text><DefinedTermEn>Act</DefinedTermEn> means the <XRefExternal reference-type="act" link="C-10.4">Canada Transportation Act</XRefExternal>. (<DefinedTermFr>Loi</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2014-04-17" lims:fid="814278" lims:id="814278" generate-in-text="no"><Text><DefinedTermEn>business day</DefinedTermEn> means a day on which the Agency is ordinarily open for business. (<DefinedTermFr>jour ouvrable</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2014-04-17" lims:fid="814279" lims:id="814279" generate-in-text="no"><Text><DefinedTermEn>day</DefinedTermEn> means a generate-in-text="no"><Text><DefinedTermEn>document</DefinedTermEn> includes any information recorded or saved in any arbitration conducted under Division II of Part IV of the Act.</Text></Section><Heading lims:inforce-start-date="2014-04-17" lims:fid="814283" lims:id="814283" level="1"><TitleText>General Provisions</TitleText></Heading><Section lims:inforce-start-date="2014-04-17" lims:lastAmendedDate="2014-04-17" lims:fid="814284" lims:id="814284"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814285" lims:id="814285">Dispensing and amending</MarginalNote><Label>4</Label><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814286" lims:id="814286"><Label>(1)</Label><Text>The arbitrator may dispense with or amend any of these Rules if to do so will improve the efficiency and effectiveness of the arbitration procedure.</Text></Subsection><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814287" lims:id="814287"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814288" lims:id="814288">Time limits</MarginalNote><Label>(2)</Label><Text>The arbitrator may extend or abridge any time limit established under these Rules either before or after the time limit expires.</Text></Subsection></Section><Section lims:inforce-start-date="2014-04-17" lims:lastAmendedDate="2014-04-17" lims:fid="814289" lims:id="814289"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814290" lims:id="814290">Confidentiality</MarginalNote><Label>5</Label><Text>If any information relating to the arbitration is to be kept confidential, every person who will have access to the information in the course of the arbitration must sign a confidentiality agreement before they obtain access to the information.</Text></Section><Section lims:inforce-start-date="2014-04-17" lims:lastAmendedDate="2014-04-17" lims:fid="814291" lims:id="814291"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814292" lims:id="814292">Last day</MarginalNote><Label>6</Label><Text>The last day for doing an act or meeting any other requirement under these Rules applies even if that day is not a business day.</Text></Section><Section lims:inforce-start-date="2014-04-17" lims:lastAmendedDate="2014-04-17" lims:fid="814293" lims:id="814293"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814294" lims:id="814294">Language of arbitration — agreement of parties</MarginalNote><Label>7</Label><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814295" lims:id="814295"><Label>(1)</Label><Text>If the parties are in agreement on the official language in which the arbitration is to be conducted, they must advise the Agency accordingly by submitting a written notice along with each of their proposals.</Text></Subsection><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814296" lims:id="814296"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814297" lims:id="814297">Determined by arbitrator</MarginalNote><Label>(2)</Label><Text>If the parties fail to provide notice to the Agency, the language of the arbitration is to be determined by the arbitrator.</Text></Subsection><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814298" lims:id="814298"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814299" lims:id="814299">Translation services</MarginalNote><Label>(3)</Label><Text>A party that requires translation services in order to consult any document produced in either official language by the other party must make arrangements to obtain those services.</Text></Subsection><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814300" lims:id="814300"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814301" lims:id="814301">Simultaneous translation services</MarginalNote><Label>(4)</Label><Text>A party that requires simultaneous translation services in order to participate in the arbitration, or in order that one of their witnesses may present evidence in the language of the arbitration, must, at least seven days before the services are required, provide notice in writing of the requirement to the Agency.</Text></Subsection></Section><Section lims:inforce-start-date="2014-04-17" lims:lastAmendedDate="2014-04-17" lims:fid="814302" lims:id="814302"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814303" lims:id="814303">Providing documents</MarginalNote><Label>8</Label><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814304" lims:id="814304"><Label>(1)</Label><Text>Documents to be provided to a party under these Rules must be delivered or transmitted by email or facsimile.</Text></Subsection><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814305" lims:id="814305"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814306" lims:id="814306">Delivery — effective</MarginalNote><Label>(2)</Label><Text>Delivery of a document to a party is effective on the day on which the document is received at the address of the party or of their legal counsel or other authorized representative, if any.</Text></Subsection><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814307" lims:id="814307"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814308" lims:id="814308">Email or facsimile — effective</MarginalNote><Label>(3)</Label><Text>Email or facsimile transmission of a document is effective at the time that the email or facsimile is transmitted.</Text></Subsection><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814309" lims:id="814309"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814310" lims:id="814310">Irregular transmission</MarginalNote><Label>(4)</Label><Text>If a document that is transmitted by email or facsimile is not received or is only partially received, the sender must, as soon as feasible after receiving a request from the recipient, deliver a paper copy of the document to the recipient.</Text></Subsection></Section><Section lims:inforce-start-date="2014-04-17" lims:lastAmendedDate="2014-04-17" lims:fid="814311" lims:id="814311"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814312" lims:id="814312">Oral communication with arbitrator</MarginalNote><Label>9</Label><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814313" lims:id="814313"><Label>(1)</Label><Text>A party or their legal counsel or authorized representative must not speak with the arbitrator in the absence of the other party or the other party’s legal counsel or authorized representative.</Text></Subsection><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814314" lims:id="814314"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814315" lims:id="814315">Written communication</MarginalNote><Label>(2)</Label><Text>A party or their legal counsel or authorized representative must not write to the arbitrator without providing a copy of the communication to the other party at the same time.</Text></Subsection></Section><Section lims:inforce-start-date="2014-04-17" lims:lastAmendedDate="2014-04-17" lims:fid="814316" lims:id="814316"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814317" lims:id="814317">Arbitrator’s mandatory disclosure</MarginalNote><Label>10</Label><Text>Within 24 hours after the day on which a matter is referred for arbitration under subsection 169.35(1) of the Act, the arbitrator must provide a signed declaration to the parties that discloses any situation of which he or she is aware that could place him or her in a conflict of interest or that could give rise to a reasonable apprehension of bias in the context of the arbitration.</Text></Section><Section lims:inforce-start-date="2014-04-17" lims:lastAmendedDate="2014-04-17" lims:fid="814318" lims:id="814318"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814319" lims:id="814319">Lack of impartiality or conflict of interest</MarginalNote><Label>11</Label><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814320" lims:id="814320"><Label>(1)</Label><Text>If a party is of the view that an arbitrator is unable to perform his or her duties impartially or is in a conflict of interest in the context of the arbitration, the party must advise the Agency by written notice without delay, setting out the reasons for their claim.</Text></Subsection><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814321" lims:id="814321"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814322" lims:id="814322">Decision within three days</MarginalNote><Label>(2)</Label><Text>The Chairperson must decide on the claim and notify the parties within three business days after the day on which written notice of the claim is received by the Agency.</Text></Subsection></Section><Section lims:inforce-start-date="2014-04-17" lims:lastAmendedDate="2014-04-17" lims:fid="814323" lims:id="814323"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814324" lims:id="814324">Substitution</MarginalNote><Label>12</Label><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814325" lims:id="814325"><Label>(1)</Label><Text>The Chairperson must appoint a substitute arbitrator as soon as feasible after</Text><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814326" lims:id="814326"><Label>(a)</Label><Text>the arbitrator becomes unable to continue to perform his or her duties;</Text></Paragraph><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814327" lims:id="814327"><Label>(b)</Label><Text>the arbitrator informs the Agency that he or she is no longer able to act as arbitrator or considers himself or herself unable to perform the duties of arbitrator without giving rise to a reasonable apprehension of bias or because of a conflict of interest; or</Text></Paragraph><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814328" lims:id="814328"><Label>(c)</Label><Text>the Chairperson decides, following written notice from a party, that the arbitrator cannot continue to perform his or her duties without giving rise to a reasonable apprehension of bias or because of a conflict of interest.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814329" lims:id="814329"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814330" lims:id="814330">Hearings to be repeated</MarginalNote><Label>(2)</Label><Text>If an arbitrator is replaced, any hearings previously held must be repeated.</Text></Subsection></Section><Heading lims:inforce-start-date="2014-04-17" lims:fid="814331" lims:id="814331" level="1"><TitleText>General Powers of Arbitrator</TitleText></Heading><Section lims:inforce-start-date="2014-04-17" lims:lastAmendedDate="2014-04-17" lims:fid="814332" lims:id="814332"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814333" lims:id="814333">Role of arbitrator</MarginalNote><Label>13</Label><Text>The arbitrator may, among other things,</Text><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814334" lims:id="814334"><Label>(a)</Label><Text>encourage and assist the parties in settling the dispute or any of the matters in dispute at all times until the end of the first pre-arbitration meeting;</Text></Paragraph><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814335" lims:id="814335"><Label>(b)</Label><Text>order the adjournment of the arbitration, if required;</Text></Paragraph><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814336" lims:id="814336"><Label>(c)</Label><Text>order the inspection of documents, goods or other property, including a site visit;</Text></Paragraph><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814337" lims:id="814337"><Label>(d)</Label><Text>give directions on questions of procedure that do not deal with the substance of the dispute, including those that arise in the course of pre-arbitration meetings;</Text></Paragraph><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814338" lims:id="814338"><Label>(e)</Label><Text>request further statements to clarify matters in dispute;</Text></Paragraph><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814339" lims:id="814339"><Label>(f)</Label><Text>in exceptional circumstances and if there is no prejudice to the parties, dispense with an oral hearing and order that all arguments and evidence be presented in writing; and</Text></Paragraph><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814340" lims:id="814340"><Label>(g)</Label><Text>as required, appoint one or more independent external experts to report on specific issues.</Text></Paragraph></Section><Heading lims:inforce-start-date="2014-04-17" lims:fid="814341" lims:id="814341" level="1"><TitleText>Steps Preceding Hearing</TitleText></Heading><Section lims:inforce-start-date="2014-04-17" lims:lastAmendedDate="2014-04-17" lims:fid="814342" lims:id="814342"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814343" lims:id="814343">First pre-arbitration meeting</MarginalNote><Label>14</Label><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814344" lims:id="814344"><Label>(1)</Label><Text>Within four days after the day on which the arbitrator is chosen in accordance with subsection 169.35(1) of the Act, he or she must convene a pre-arbitration meeting for the purpose, among other things, of</Text><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814345" lims:id="814345"><Label>(a)</Label><Text>encouraging settlement by the parties of the dispute, or of any matter in dispute;</Text></Paragraph><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814346" lims:id="814346"><Label>(b)</Label><Text>clarifying matters in dispute;</Text></Paragraph><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814347" lims:id="814347"><Label>(c)</Label><Text>determining whether there is consensus between the parties on any relevant facts, and if so, ordering the parties to produce an agreed statement of facts;</Text></Paragraph><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814348" lims:id="814348"><Label>(d)</Label><Text>determining the time required for the arbitration hearing, which should normally not exceed five days;</Text></Paragraph><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814349" lims:id="814349"><Label>(e)</Label><Text>fixing the date of the arbitration hearing;</Text></Paragraph><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814350" lims:id="814350"><Label>(f)</Label><Text>establishing a timetable for the completion of all pre-arbitration matters, including</Text><Subparagraph lims:inforce-start-date="2014-04-17" lims:fid="814351" lims:id="814351"><Label>(i)</Label><Text>the exchange of arbitration briefs,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2014-04-17" lims:fid="814352" lims:id="814352"><Label>(ii)</Label><Text>the exchange of questions referred to in subsection 169.36(3) of the Act, and</Text></Subparagraph><Subparagraph lims:inforce-start-date="2014-04-17" lims:fid="814353" lims:id="814353"><Label>(iii)</Label><Text>the holding of a second pre-arbitration meeting, if the arbitrator considers it appropriate;</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814354" lims:id="814354"><Label>(g)</Label><Text>establishing the order of proceedings at the arbitration hearing; and</Text></Paragraph><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814355" lims:id="814355"><Label>(h)</Label><Text>deciding any other procedural matters in respect of the arbitration.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814356" lims:id="814356"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814357" lims:id="814357">Type of meeting</MarginalNote><Label>(2)</Label><Text>The meeting may be conducted in person or by means of electronic communication, such as webcasting, video conferencing or teleconferencing.</Text></Subsection><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814358" lims:id="814358"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814359" lims:id="814359">Meeting summary</MarginalNote><Label>(3)</Label><Text>Within three days after the day on which the meeting takes place, the arbitrator must provide a summary of the meeting to the parties that outlines, among other things, any agreements reached and decisions rendered, the time, date and place, if applicable, of the second pre-arbitration meeting and the time, date and place of the arbitration hearing.</Text></Subsection></Section><Section lims:inforce-start-date="2014-04-17" lims:lastAmendedDate="2014-04-17" lims:fid="814360" lims:id="814360"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814361" lims:id="814361">Exchange of arbitration briefs</MarginalNote><Label>15</Label><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814362" lims:id="814362"><Label>(1)</Label><Text>Each party must provide their arbitration brief to the arbitrator and to the other party in accordance with the timetable established at the first pre-arbitration meeting.</Text></Subsection><Subsection lims:inforce-start-date="2014-04-17" lims:fid="814363" lims:id="814363"><MarginalNote lims:inforce-start-date="2014-04-17" lims:fid="814364" lims:id="814364">Content</MarginalNote><Label>(2)</Label><Text>Each party’s arbitration brief must contain</Text><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814365" lims:id="814365"><Label>(a)</Label><Text>the material facts in support of the party’s position;</Text></Paragraph><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814366" lims:id="814366"><Label>(b)</Label><Text>the agreed statement of facts ordered by the arbitrator, if applicable;</Text></Paragraph><Paragraph lims:inforce-start-date="2014-04-17" lims:fid="814367" lims:id="814367"><Label>(c)</Label><Text>documentary evidence that the party intends to produce at the arbitration hearing in support of their position and that is selected from information exchanged under subsection 169.34(3) of the Act, including, in respect of any written opinion from an expert who is to give evidence at the hearing,</Text><Subparagraph lims:inforce-start-date="2014-04-17" lims:fid="814368" lims:id="814368"><Label>(i)</Label><Text>the qualifications of the expert,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2014-04-17" lims:fid="814369" lims:id="814369"><Label>(ii)</Label><Text>the expert’s opinion, and</Text></Subparagraph><Subparagraph lims:inforce-start-date="2014-04-17" lims:fid="814370" lims:id="814370"><Label>(iii)</Label><Text>the facts upon which the expert’s opinion is based;</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2014-04-17"
